Intellectual Property Agreement

DEIMOS SERPENT INTELLECTUAL PROPERTY AGREEMENT

This Intellectual Property Agreement (“Agreement”) is made and entered into by and between Deimos Serpent, a goth streetwear brand (“Licensor” or “Company”), and the undersigned creator(s), designer(s), or contributor(s) (“Creator” or “Contributor”).

1. Ownership of Intellectual Property

The Licensor retains ownership of all intellectual property rights associated with Deimos Serpent, including, but not limited to:

Modified or adapted designs, logos, and branding created by the Contributor for Deimos Serpent.

Any original artwork, visual elements, or designs produced for Deimos Serpent.

Copyrights, trademarks, and any other intellectual property rights tied to the Deimos Serpent brand, as applicable under copyright law.

The Contributor acknowledges that original, unmodified assets (such as graphics from Pixabay, Canva, or other third-party platforms) remain the intellectual property of their respective creators or licensing platforms. The rights granted to the Contributor under this Agreement pertain only to the use, modification, and adaptation of those resources for the Deimos Serpent brand, and not to the original, unmodified content.

2. License to Use and Modify Third-Party Content

The Contributor may use graphics, images, and other assets sourced from third-party platforms like Pixabay or Canva, provided that they are used within the boundaries of the licensing agreements provided by those platforms. The Contributor must:

Ensure that the content is either free for commercial use or appropriately licensed for the intended use.

Not claim full ownership of or the exclusive rights to any third-party graphics or assets.

Acknowledge the source of the content as required by the licensing terms of the third-party platform (e.g., attribution for free-use resources).

3. Ownership of Modifications

Any modifications, alterations, or adaptations made to the third-party content, or any original works created by the Contributor for Deimos Serpent (including the combination of third-party graphics and original elements), shall be the sole property of Deimos Serpent, provided that such works comply with the licensing terms of the original assets.

Deimos Serpent holds exclusive rights to these modifications for commercialization, branding, and promotion.

4. Compensation

The Contributor may receive compensation for their work based on a separate agreement (e.g., payment for design work, a fixed fee, etc.). However, the ownership of any modified or new intellectual property created specifically for Deimos Serpent will belong to the Company, and the Contributor will not retain any additional rights or claims to the modified work beyond the agreed compensation.

5. Confidentiality

The Contributor agrees to maintain confidentiality regarding any proprietary information or trade secrets related to Deimos Serpent, including design concepts, marketing strategies, and any intellectual property still in development. This obligation remains in effect both during and after the term of this Agreement.

6. Moral Rights Waiver

The Contributor waives any moral rights related to the work created for Deimos Serpent, including the right to attribution or the right to object to derogatory changes to the work. The Licensor may use, modify, or reproduce the work as needed.

7. Legal Action for Infringement

In the event of infringement of Deimos Serpent’s intellectual property rights, including unauthorized use or reproduction of designs or modified works, the Licensor reserves the right to pursue legal action against any infringing parties.

8. Termination

This Agreement will remain in effect until terminated by mutual written consent. Upon termination, all rights granted to Deimos Serpent with respect to the Contributor’s works will continue, including the use of modified designs or assets.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Pennsylvania. Any legal disputes arising from this Agreement will be resolved in the appropriate courts in Pennsylvania.

10. Acknowledgment

By signing this Agreement, the Contributor acknowledges that they have read, understood, and agreed to the terms set forth herein.
